1. Acceptance of Terms

By accessing or using the services provided by NthCloud LLP ("Company", "we", "us", or "our"), including our website at nthcloud.in and all related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

NthCloud LLP provides enterprise technology solutions including but not limited to:

• Web development and application design
• Cloud hosting and VPS server management
• CRM and CMS development and integration
• Custom software development
• Digital marketing services
• Business email hosting
• Domain registration and management

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. Payment Terms

• All fees are quoted in Indian Rupees (INR) unless otherwise stated.
• Payment is due as per the billing cycle agreed upon (monthly, quarterly, or yearly).
• Failure to make timely payments may result in suspension or termination of services.
• All payments are non-refundable unless otherwise specified in a written agreement.
• We reserve the right to modify pricing with 30 days prior notice.

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Transmit malware, viruses, or any malicious code
• Send unsolicited bulk emails (spam)
• Host content that infringes on intellectual property rights
• Engage in activities that disrupt or interfere with our services or networks
• Attempt unauthorized access to our systems or other users' accounts

6. Service Level Agreement (SLA)

We strive to maintain 99.9% uptime for our hosting and cloud services. In the event of unscheduled downtime exceeding this guarantee, eligible clients may receive service credits as outlined in their specific service agreement. Scheduled maintenance windows are excluded from uptime calculations.

7. Intellectual Property

All content, designs, code, and materials created by NthCloud LLP remain our intellectual property until full payment is received. Upon complete payment, ownership of custom deliverables transfers to the client as specified in the project agreement. Our proprietary tools, frameworks, and platforms remain the property of NthCloud LLP.

8. Data Protection

We take reasonable measures to protect your data. However, no method of electronic storage or transmission is 100% secure. We maintain regular backups but recommend clients maintain their own backup copies of critical data. Please refer to our Privacy Policy for detailed information on data handling practices.

9. Limitation of Liability

To the maximum extent permitted by law, NthCloud LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the event.

10. Termination

Either party may terminate services with 30 days written notice. We reserve the right to suspend or terminate services immediately if you violate these terms. Upon termination, you must pay all outstanding fees. We will provide reasonable assistance in migrating your data upon request, subject to payment of any outstanding balances.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
